The part his lawyer insisted on, in full
Partner terms
Version 1.2, 31 October 2026
1. Who agrees to what
These terms are between Justin Schaarschmidt, trading as Sin & Signal, reachable at the address in the Legal Notice and at creators@sinandsignal.com ("we"), and the creator we accept into the program ("you").
You must be 18 or older and act in your own name. You are an independent partner, not our employee or agent. There is no exclusivity: you can work with whoever you like.
2. How it starts
Applying isn't a contract. The agreement starts when we have emailed you an acceptance with your code and you have replied from the address you applied with, saying that you agree to this version of the terms. Each side keeps those emails as the record.
The app isn't out yet. Features and dates may change, we promise no launch date, and there is no commission to earn before launch.
3. Commission
You earn commission on what a subscriber pays for a Sin & Signal App Store subscription after entering your code in the app. The amount is based on the price the subscriber actually pays, including tax and after the code's discount, as reported by our subscription provider. Other currencies are converted to euros using the figures in that report.
- Rate: 25% on payments in months 1 to 12 of each subscriber.
- Top rate: Once 50 subscribers have paid under your code, every later payment in months 1 to 12 of any of your subscribers earns 30%, including subscribers you brought earlier. Trials and subscribers whose payments were all refunded don't count towards the 50. Earlier payments aren't recalculated, and the top rate doesn't fall back.
- Top creators: After each calendar year we rank all program creators by how many subscribers first paid under their code that year, counted the same way. The top 5%, rounded up and always at least the top 3, earn 15% on every payment in months 13 to 24 of any of their subscribers that is charged in the following calendar year. Creators tied on a qualifying place all qualify. Earlier payments aren't recalculated.
- Counting: month 1 begins with the subscriber's first paid charge. The date of each charge decides its rate. Nothing is owed on charges after month 12, except as the top creators rule says, and nothing after month 24.
No commission on free trials, test versions, your own subscriptions or subscriptions gained in breach of section 6. Refunds and chargebacks are deducted, including after a payout. A subscriber's first code stays theirs: a later code doesn't replace it.
4. Your code
Your code gets your followers 10% off their first 12 months. It only links a subscriber to you and unlocks nothing else. Apple's systems decide what is technically possible, so we may change how the discount or the code works, as long as you can still earn on subscribers who use it. We'll tell you before we do. We count the code as entered in the app. We can't pay for subscribers who didn't enter it.
5. Payouts and tax
We settle once a month, 60 days after the charge, and send you a statement with the number of subscribers and the amounts. We never give you any subscriber's identity. We pay from a balance of €25, by PayPal or Wise. Smaller balances carry over. Before the first payout you give us your legal name, address, payout account and any tax details the law requires.
You handle your own taxes and your provider's fees for receiving money. Commission includes any VAT you have to charge, unless the reverse-charge rules apply.
Leaderboard
We may show program creators a top 5 by paid subscribers after refunds, never amounts. You always see your own place. Your name appears only if you've agreed in writing, otherwise it says "hidden". The leaderboard stays inside the program and doesn't affect your access or commission.
6. Your posts
You decide if, when and what you post. There is no minimum. Whatever you do post:
- Mark it as an ad, the way the rules of your country and your audience's require, for example #ad or "Anzeige".
- Say that J. is fictional and that his voice and images are AI-generated.
- Say only what you honestly think and have actually seen. Don't invent testimonials or results.
- Aim it at adults. Don't address anyone under 18.
- Don't post a spoiler we've asked you to keep, and don't give J. a name we haven't given him.
- Don't buy, give or trade App Store reviews, and don't give, or ask for, anything in exchange for them.
- Don't use bots, fake accounts, spam, bought installs, paid ads on our name, or coupon sites to spread your code.
You are responsible for your own posts and for following the rules of the platforms you use.
7. Early and free access
You may get the test version through Apple's TestFlight, and free access after launch. Access is a way to see the app. It isn't payment and never depends on a post, a review or a subscriber count. We pay nothing for testing. We can end access at any time, and test versions can break or disappear.
8. Rights
While these terms last, you may use the Sin & Signal name, logo and the material we give you for this program, in posts about the app, without changing their meaning. J. is ours. Don't present him as a real person.
Your posts stay yours. For each post you make for this program, meaning a post that shows your code or promotes the app, you give us a free, non-exclusive, worldwide licence for 12 months from the day it goes up. We may show it on our own channels, in our ads and as an example in our private training for other program creators, with credit to you. We may crop it, shorten it and add subtitles, as long as the meaning stays the same. No extra fee is owed. This licence also covers your name, handle, image and voice as they appear in the post.
You can stop further use of any post at any time by email, and we'll take it down within 14 days. Ads through your own account need your approval for that specific video. You confirm that you may grant this licence for your own work. We remove music or other third-party material from a post if we don't hold the rights to it.
9. Your data
For this agreement we keep your account name, email, country, code, payout details, the emails between us, your subscriber counts and amounts, and the posts we use under section 8. Legal basis: Art. 6(1)(b) GDPR, and Art. 6(1)(c) GDPR for tax and accounting records. We use Cloudflare as our processor, a subscription provider for the counts and PayPal or Wise for payouts.
Within 30 days of the final payout we delete what we no longer need. Tax and accounting records stay as long as the law requires, and we keep your account name, code and amounts so that we can settle correctly and don't contact you again. More in the Privacy notice, including your rights.
10. Ending it
Either side can end these terms at any time by email. Please stop using your code and our material within 14 days. Subscribers you already brought keep earning you commission as section 3 sets out. Licences for posts you've already made run until their 12 months are over, unless you stop them as section 8 says.
If you seriously or repeatedly break section 6, or weren't 18 when you agreed, we can end this at once. Commission stops then, and we can hold back amounts that came from the breach. A balance below €25 is paid out on request once your last commission has been settled.
We may also close the program. Commission on subscribers you already brought continues as above, for as long as the app is sold.
11. Changes
We may change these terms by emailing you at least 30 days ahead. If you don't agree, you can end them before that date. A change never lowers the rate on subscribers you brought before it takes effect.
12. Liability and law
Each side is fully liable for intent and gross negligence, for injury to life, body or health and wherever the law doesn't allow a limit. For slight negligence, liability exists only for breach of a duty essential to this agreement, limited to the typical, foreseeable damage.
German law applies, without the UN Convention on Contracts for the International Sale of Goods. Mandatory rights under the law of your country remain. Email is enough for anything these terms call "in writing". If one clause is invalid, the rest stays in force.
